These Terms of Use (the “Terms”) govern your access to and use of sidrion.com (the “Site”), which is operated by Sidrion LLC, a Florida limited liability company (“Sidrion,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. What this Site is

The Site is an informational page about Sidrion LLC and the businesses it operates. It is provided for general information only. Nothing on the Site is an offer to sell, a solicitation of an offer to buy, or a binding commitment of any kind, and nothing on the Site creates a contractual relationship between you and Sidrion beyond these Terms.

Products and services described here may be provided through separate brands with their own websites, their own terms, and their own purchase processes. Transactions do not take place on this Site.

2. Our brands

Sidrion LLC operates, among other things:

  • Yanee AI — real-time multilingual captioning and translation for live events, at yanee.ai

That property is governed by its own terms of service and privacy policy. These Terms govern only sidrion.com. If a conflict arises between these Terms and the terms published on another Sidrion property, the terms of that property control as to that property.

3. Permitted use

You may view, download, and print pages from the Site for your own personal or internal business reference. You agree not to:

  • use the Site for any unlawful purpose or in violation of any applicable law or regulation;
  • copy, reproduce, republish, distribute, or create derivative works from Site content except as permitted above or with our written permission;
  • use any robot, scraper, or automated means to access the Site in a manner that imposes an unreasonable load on our infrastructure;
  • attempt to gain unauthorized access to the Site, its servers, or any connected system or network;
  • introduce viruses, malware, or other harmful code;
  • remove, obscure, or alter any copyright, trademark, or other proprietary notice; or
  • use the Site to harass, defame, or harm any person.

4. Intellectual property

The Site and its contents — including text, graphics, logos, images, layout, and design — are owned by Sidrion LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

“Sidrion,” “Yanee AI,” and associated logos are marks of Sidrion LLC. No license or right to use any mark is granted by these Terms or by your use of the Site. Third-party marks appearing on the Site belong to their respective owners.

5. Accuracy of information

We try to keep the Site accurate and current, but we make no guarantee that it is. Information may become outdated, and the Site may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any error and to change or update Site content at any time without notice. We are under no obligation to update any information on the Site.

6. Third-party links

The Site may contain links to websites operated by others. We provide those links for convenience only. We do not control, endorse, or assume responsibility for the content, products, services, or practices of any third-party site. Accessing a linked site is at your own risk and subject to that site’s terms.

7. Disclaimer of warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SIDRION LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED. WE DO NOT WARRANT THAT THE SITE OR ANY SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIDRION LLC AND ITS MEMBER, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sidrion LLC and its member, managers, officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

10. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

You agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts and waive any objection to venue in them.

11. Changes to these Terms

We may revise these Terms at any time. When we do, we will update the “Last updated” date above and post the revised version on this page. Changes take effect when posted. Your continued use of the Site after that means you accept the revised Terms. Please review this page periodically.

12. Severability and waiver

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of our right to enforce it later.

13. Entire agreement

These Terms, together with our Privacy Policy and Cookie Notice, constitute the entire agreement between you and Sidrion LLC regarding the Site and supersede any prior understanding on that subject.
